Legal Counsel

• Draft, review, and negotiate SAFEs, convertible instruments, share purchase agreements, and shareholders’ agreements
• Coordinate investment due diligence, approvals, signing, and closing
• Handle the fund’s side of new rounds, secondaries, and exits
• Review consents and amendments
• Help portfolio founders with legal questions involving the fund
• Work with the LPA and side letters
• Prepare resolutions and coordinate investor approvals and onboarding
• Support the legal aspects of capital calls and distributions
• Work with administrators and local lawyers on international structures
• Prepare corporate documents and agreements
• Respond to documentation requests from banks and auditors
• Work directly with partners, investment and finance teams, founders, fellow counsel, and external lawyers

• 2–5 years of legal experience
• Solid grounding in corporate law or M&A
• Advanced English
• Experience drafting and reviewing legal documents
• Experience discussing legal documents with founders, investors, and external counsel
• Experience handling matters independently, including drafting documents, speaking with counterparties, and moving work through completion
• Practical approach to legal questions, including identifying business objectives, evaluating legally sound options, recommending a way forward, and explaining material risks
• VC experience is a plus but not required
• In-house experience after private practice is useful
• Background may include a law firm, Big Four legal team, company with a strong legal function, or investment fund
